By registering as a Vendor or using Vendor-related Services, you agree to these Vendor Terms in addition to our Privacy Policy, Terms & Conditions, Refund Policy, and any other applicable platform rules.
1. Vendor Eligibility and Registration
To become a Vendor, you must provide accurate, current, and complete information requested during registration. We may require business details, identity verification, tax details, bank or payout information, contact details, and supporting documents.
RightIndia may approve, reject, suspend, or revoke Vendor access at its sole discretion.
2. Vendor Responsibilities
As a Vendor, you agree to:
- Provide accurate and lawful business information
- Ensure that all products, services, listings, rentals, or events comply with applicable law
- Provide truthful descriptions, pricing, images, terms, and availability
- Fulfill orders, bookings, and commitments in a timely and professional manner
- Maintain required licenses, approvals, permits, and registrations where applicable
- Respond to customer inquiries, disputes, returns, and support requests reasonably and promptly
- Avoid misleading claims, prohibited items, counterfeit goods, or unauthorized content
- Comply with tax, invoicing, and regulatory obligations applicable to your business
3. Vendor Content and Listings
Vendors are solely responsible for all content they publish, including product listings, pricing, stock status, business details, rental terms, event details, promotional text, images, videos, and customer communications.
RightIndia reserves the right to edit, reject, suspend, remove, or moderate Vendor content that violates law, platform policy, quality standards, or the rights of others.
4. Orders, Fulfillment, and Customer Service
Vendors are responsible for fulfilling accepted orders and bookings, shipping items where applicable, honoring listed commitments, and maintaining clear communication with buyers.
Vendors must not mark orders as fulfilled, delivered, completed, or confirmed unless the relevant action has actually occurred.
5. Pricing, Commissions, and Fees
RightIndia may charge listing fees, package fees, subscription fees, promotional fees, commissions, transaction fees, service fees, or other platform charges. Applicable fees may be displayed in the Vendor dashboard, checkout flow, package details, or separate commercial terms.
RightIndia reserves the right to change platform pricing, commissions, or fee structures by updating the relevant terms, dashboard notices, or pricing pages.
6. Taxes and Compliance
Vendors are responsible for determining, collecting, reporting, and remitting their own applicable taxes unless RightIndia expressly states otherwise in writing.
Vendors are also responsible for complying with applicable consumer laws, advertising laws, product safety laws, licensing rules, and sector-specific regulations relevant to their offerings.
7. Returns, Refunds, and Disputes
Vendors must cooperate in good faith with refund, return, replacement, cancellation, warranty, and dispute processes. Vendor-specific policies must be clear, lawful, and consistent with minimum platform rules and applicable law.
RightIndia may intervene in disputes and may issue refunds, reversals, account holds, penalties, or other adjustments where necessary to protect customers, the platform, or compliance interests.
8. Prohibited Vendor Conduct
Vendors must not:
- Sell illegal, counterfeit, stolen, unsafe, or prohibited products or services
- Misrepresent stock, quality, condition, or delivery timelines
- Manipulate reviews, ratings, rankings, or transactions
- Circumvent platform payments, fees, or customer protections where prohibited
- Use customer data for unauthorized marketing or unlawful purposes
- Upload content that infringes intellectual property or other rights
- Engage in fraud, abuse, harassment, or deceptive practices
9. Payouts and Holds
Vendor payouts may be subject to verification, order completion, refund windows, reserve periods, payment processor timing, fraud review, or account compliance checks.
RightIndia may hold, delay, offset, reverse, or suspend payouts where there are disputes, policy violations, suspected fraud, chargebacks, refunds, technical issues, or legal obligations.
10. Intellectual Property and Branding
Vendors retain ownership of their own lawful content, subject to the license granted to RightIndia to host, display, market, reproduce, and distribute such content for the purpose of operating and promoting the platform.
Vendors must not use the RightIndia name, logo, trademarks, or branding in a misleading way or imply endorsement beyond what is expressly permitted.
11. Suspension, Removal, and Termination
RightIndia may suspend, restrict, delist, or terminate a Vendor account, listing, store, or access to Services at any time, with or without notice, where necessary for platform integrity, legal compliance, user protection, fraud prevention, or policy enforcement.
Termination does not relieve the Vendor of obligations related to completed orders, pending disputes, refunds, taxes, fees, indemnities, or compliance matters.
12. Indemnity
The Vendor agrees to indemnify and hold harmless RightIndia, its affiliates, owners, officers, employees, agents, and partners from and against claims, losses, liabilities, damages, costs, and expenses arising from the Vendor’s products, services, listings, business operations, legal violations, customer disputes, tax issues, or breach of these Vendor Terms.
13. Limitation of Liability
To the maximum extent permitted by law, RightIndia shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from Vendor participation on the platform.
14. Governing Law and Jurisdiction
These Vendor Terms are governed by the laws of India. Subject to applicable law, disputes shall be subject to the exclusive jurisdiction of the courts located in [Insert City, State, India].
